American Rustic Design Wholesale Policy
Thank you for your interest in the American Rustic Design Wholesale Program. Our wholesale program is designed to connect qualified retailers with distinctive products created by the independent makers behind American Rustic Design ("ARD").
By applying for wholesale access or placing a wholesale order through American Rustic Design, the retailer agrees to the following Wholesale Policy.
1. Wholesale Eligibility & Approval
Access to ARD wholesale products and pricing is available only to approved businesses purchasing merchandise for resale in the ordinary course of business.
Applicants will be required to provide business information, a valid resale certificate, seller's permit, tax-exemption documentation, or other documentation reasonably necessary for ARD to verify wholesale eligibility.
Submission of an application does not guarantee approval. ARD reserves the right to approve, deny, suspend, or revoke wholesale access when reasonably necessary to protect ARD, its makers, or the integrity of the wholesale program.
Retailers are responsible for keeping their business and resale information accurate and current.
2. Wholesale Catalog Access
Wholesale products, pricing, and other wholesale information are maintained in a private catalog intended exclusively for approved ARD wholesale partners.
Approved retailers may receive access credentials or other authorization necessary to access the private wholesale catalog.
Wholesale access credentials may not be published, transferred, or shared with unauthorized individuals or businesses.
ARD reserves the right to change access credentials or revoke access when unauthorized use or sharing is suspected.
3. Wholesale Pricing
Wholesale prices are displayed within the private ARD Wholesale Catalog and may differ by product, maker, quantity, or other applicable terms.
Wholesale pricing is subject to change. Unless otherwise agreed, the price displayed at the time an order is placed applies to that order.
Wholesale pricing is intended only for approved retailers purchasing merchandise for resale and may not be used for personal purchases or distributed publicly.
4. Suggested Retail Pricing (MSRP)
ARD may provide a Manufacturer's Suggested Retail Price or Suggested Retail Price ("MSRP") for wholesale products.
MSRP is provided as a pricing reference. Unless otherwise specifically agreed, retailers remain responsible for determining their own final resale prices.
However, maintaining resale pricing reasonably consistent with ARD's suggested MSRP may affect eligibility for ARD's slow-moving merchandise return program.
ARD may decline a slow-sales return when merchandise was offered for resale at pricing substantially above the suggested MSRP and the pricing may reasonably have contributed to the product's failure to sell.
5. Minimum Orders & Quantities
Minimum order quantities, case quantities, minimum order values, or other purchasing requirements may vary by product or maker.
Any applicable minimums will be displayed within the wholesale catalog or communicated to the retailer before an order is finalized.
ARD reserves the right to modify wholesale minimums as product availability, production requirements, or maker capacity changes.
6. Sales Tax & Resale Documentation
Wholesale merchandise purchased for qualifying resale may be eligible for sales-tax exemption when the retailer provides valid resale or tax-exemption documentation.
Retailers are responsible for providing accurate and current documentation and for ensuring that purchases claimed as tax-exempt qualify for exemption under applicable law.
When merchandise is purchased from American Rustic Design tax-exempt for resale, the retailer is responsible for complying with all applicable sales, use, and other tax obligations associated with its subsequent resale or use of the merchandise, including the collection, reporting, and remittance of applicable taxes to the appropriate taxing authorities.
American Rustic Design is not responsible for collecting or remitting taxes on behalf of the retailer for the retailer's subsequent sales to its customers.
If merchandise purchased tax-exempt is later used, consumed, or otherwise removed from resale inventory in a manner that creates a tax obligation, the retailer is responsible for determining and satisfying any applicable use tax or other tax liability.
ARD may collect sales tax when valid exemption documentation has not been provided, cannot be verified, has expired, or when tax is otherwise required by applicable law.
Approval for wholesale catalog access does not independently guarantee tax-exempt treatment of every transaction.
7. Orders & Availability
Wholesale orders are subject to product availability and maker production capacity.
Because many ARD products are individually handcrafted, available inventory and production times may vary. Larger orders may require additional production time.
If an order cannot be fulfilled as originally submitted, ARD will make reasonable efforts to communicate with the retailer regarding availability, substitutions, adjusted quantities, estimated production times, or other available options.
8. Handcrafted Products & Natural Variation
ARD represents independent makers, and most products offered through the wholesale program are individually handcrafted.
Natural and handmade variations in materials, dimensions, grain, color, patina, texture, finish, markings, and other characteristics may occur between individual pieces.
Reasonable variations resulting from materials or the handcrafted production process are part of the character of the product and are not considered defects.
9. Fulfillment
Wholesale merchandise may be fulfilled and shipped directly by the independent maker responsible for producing the product.
Processing and fulfillment times may vary based on inventory, order quantity, production requirements, and maker capacity.
Estimated fulfillment times are estimates rather than guaranteed delivery dates unless ARD specifically agrees otherwise in writing.
10. Wholesale Shipping
Wholesale shipping terms and charges may differ from ARD retail orders.
Retail promotions, including free-shipping offers or retail shipping thresholds, do not automatically apply to wholesale purchases unless specifically stated.
Applicable shipping charges may be calculated during checkout or communicated to the retailer when an order requires additional shipping arrangements.
Retailers are responsible for providing accurate shipping information when placing an order.
11. Wholesale Returns & Reseller Support
ARD wants wholesale partners to feel confident carrying products from the makers behind American Rustic Design.
Eligible wholesale merchandise may be considered for return, including merchandise that experiences slower-than-expected retail sales, provided all applicable return requirements are satisfied.
Acceptance of slow-moving merchandise is intended to support responsible retail partnerships and does not constitute an unconditional right to return wholesale inventory.
All wholesale returns require prior authorization from American Rustic Design.
12. Slow-Moving Merchandise Returns
ARD may accept returns of merchandise that has not sold as expected when:
- The merchandise remains in like-new, resalable condition.
- The retailer made a reasonable effort to merchandise and sell the product.
- The product was offered at pricing generally consistent with ARD's suggested MSRP.
- The merchandise has not been damaged, modified, excessively handled, or otherwise rendered unsuitable for resale.
- ARD authorizes the return before merchandise is shipped.
ARD may decline slow-sales returns when merchandise was offered at retail pricing substantially above the suggested MSRP or when other circumstances reasonably indicate that the product was not offered a fair opportunity to sell.
13. Return Condition Requirements
Returned merchandise must be undamaged, unbent, unscratched, unmodified, clean, and otherwise in like-new condition suitable for resale.
Products showing damage, excessive wear, scratches, bends, alterations, missing components, or other conditions that reduce their resale value may be declined.
Return eligibility is ultimately determined after the returned merchandise has been received and inspected.
Authorization to ship a return does not guarantee final acceptance if the merchandise arrives in a condition that does not meet the return requirements.
14. Return Authorization
Retailers must contact American Rustic Design before returning wholesale merchandise.
ARD will review the reason for the requested return and, when approved, provide applicable return instructions.
Merchandise returned without prior authorization may be refused or may not qualify for refund, credit, or exchange.
Retailers should not ship merchandise directly to an ARD maker unless specifically instructed to do so by American Rustic Design.
15. Return Shipping
Retailers are responsible for return shipping costs associated with approved returns of slow-moving, unwanted, or otherwise retailer-initiated merchandise.
Original shipping charges are non-refundable unless otherwise agreed.
Returned merchandise must be packaged appropriately to prevent damage during transportation. The retailer remains responsible for the condition of returned merchandise until it is received and inspected.
Merchandise damaged during return transportation as a result of inadequate packaging may be ineligible for return.
If a return is required because of an incorrect item, verified defect, shipping damage, or another fulfillment issue attributable to American Rustic Design or one of its makers, shipping arrangements will be reviewed and handled on a case-by-case basis.
16. Refunds, Credits & Exchanges
Approval of a return does not necessarily guarantee a particular form of reimbursement before the returned merchandise has been received and inspected.
Depending on the circumstances, an approved return may be resolved through a refund, wholesale account credit, replacement merchandise, product exchange, or another mutually agreed solution.
Any applicable refund or credit will be based on the amount originally paid for the accepted merchandise and will not include non-refundable shipping charges unless otherwise agreed.
17. Damaged, Defective or Incorrect Merchandise
Retailers should inspect wholesale shipments promptly after delivery.
If merchandise arrives damaged, appears defective, or differs materially from the order, the retailer should contact American Rustic Design as soon as reasonably possible and provide photographs or other information necessary to evaluate the issue.
ARD will work with the retailer and applicable maker to determine an appropriate resolution.
Handcrafted or natural variations described elsewhere in this policy are not considered defects.
18. Retailer Responsibility
Wholesale partners are responsible for properly storing, displaying, handling, and merchandising products after delivery.
Damage occurring after delivery as a result of improper storage, handling, display, customer use, environmental exposure, alteration, or other circumstances outside ARD's or the maker's control is not considered a manufacturing defect.
19. Independent Makers
Products offered through American Rustic Design may be designed, produced, stocked, and fulfilled by independent makers participating in the ARD marketplace.
ARD works with its makers and wholesale partners to facilitate ordering, communication, payment, fulfillment, and issue resolution.
Product availability, production capabilities, lead times, and other product-specific requirements may therefore vary by maker.
20. Wholesale Program Changes
ARD may update wholesale products, pricing, minimums, availability, access procedures, or this Wholesale Policy as the program develops.
Material changes will apply prospectively to future wholesale transactions unless otherwise required.
The Wholesale Policy in effect at the time an order is placed will generally govern that order.
